MindVest Terms and Conditions

1. DEFINITIONS AND SCOPE

As used in these Terms & Conditions, "MindVest" means the AI-powered financial insights platform, web application, mobile application, and related services (collectively, the "Service" or "Platform") operated by FinManager AI LLC ("FinManager AI," "we," "us," or "our"). These Terms and Conditions ("Agreement") govern your access to and use of the MindVest Platform, including all content, features, and services offered through the Platform.

2. ACCEPTANCE OF TERMS

By accessing, registering for, or using the MindVest Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms,you must not access or use the Service. You represent that you are at least 18 years old and have the legal capacity to enter into this Agreement. If you are using the Service on behalf of an organization, you represent that you have the authority tobind that organization to these terms.

3. DESCRIPTION OF SERVICE

3.1 AI-Powered Financial Platform

MindVest provides an artificial intelligence-powered platform that:

Aggregates financial data from traditional banks, financial institutions, and Web3 services

Generates AI-driven financial insights, analytics, and recommendations

Provides portfolio analysis and financial planning tools

Offers educational content and market information

3.2 Data Integration

The Service connects to your financial accounts through secure third-party integrations and APIs to aggregate your financial data for analysis and insight generation.

3.3 Not a Financial Advisory Service

IMPORTANT: MindVest is NOT a licensed financial advisor, investment advisor, broker-dealer, or registered investment advisor. All insights, recommendations, and information provided are for educational and informational purposes only.

4. USER RESPONSIBILITIES AND RESTRICTIONS

4.1 Account Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Immediately notifying FinManager AI of any unauthorized access or security breaches
Providing accurate and up-to-date account information

4.2 Prohibited Uses

You agree NOT to:

Use the Service for any illegal or unauthorized purpose
Attempt to gain unauthorized access to other users' accounts or data
Reverse engineer, decompile, or attempt to extract source code from the Service
Use automated systems to access the Service without permission
Violate any applicable laws or regulations
Share your account credentials with third parties
Use the Service to harass, abuse, or harm others
Upload malicious code, viruses, or harmful content
Interfere with or disrupt the Service's operation

4.3 Financial Account Access

By connecting your financial accounts, you:

Authorize FinManager AI to access your account information through secure third-party providers
Acknowledge that account connectivity depends on third-party services beyond FinManager AI's control
Understand that you can revoke access permissions at any time
Remain solely responsible for monitoring your actual financial accounts

5. DATA CONTROL AND PRIVACY

5.1 Your Data Rights

Data Control: You maintain full control of your data and can delete it at any time through youraccount settings.
Account Deletion: If you choose to delete your account, all associated data is permanently erasedfrom our systems.
No Data Sales: We do not sell, share, or use your data for advertising or marketing purposes.

5.2 Data Security

All user data is encrypted and securely stored in Microsoft Azure Cloud infrastructure
We implement enterprise-grade security measures including end-to-end encryption for data intransit and at rest
Regular security audits and monitoring
Compliance with industry security standards

6. INTELLECTUAL PROPERTY

6.1 FinManager AI Ownership

All intellectual property rights in the Service, including software, algorithms, AI models, user interface,content, and documentation, belong exclusively to FinManager AI LLC and its licensors.

6.2 User Data

You retain ownership of your financial data. By using the Service, you grant FinManager AI a limitedlicense to process your data solely for providing the Service.

6.3 Usage Restrictions

You may not copy, modify, distribute, sell, or create derivative works from any part of the Service withoutexpress written permission.

7. AI-GENERATED CONTENT AND DISCLAIMERS

7.1 AI Technology Limitations

The Service uses artificial intelligence and machine learning technologies. You acknowledge that:

AI-generated insights may contain errors, inaccuracies, or biases
Past performance data should not be construed as indicative of future results
AI recommendations are not guaranteed to be suitable for your specific situation
The technology is probabilistic and may produce unexpected results

7.2 No Financial Advice

CRITICAL DISCLAIMER: All content, insights, recommendations, and information provided by MindVestare for educational and informational purposes only and do NOT constitute:

Financial, investment, or trading advice
Legal or tax advice
Guarantees of investment performance

7.3 User Responsibility

You are solely responsible for:

Evaluating the merits and risks of any financial decisions
Consulting with qualified financial, legal, or tax professionals
Verifying all information before making financial decisions
Understanding that all investments carry risk of loss

8. DISCLAIMERS AND LIMITATIONS OF LIABILITY

8.1 Service Availability

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. FinManager AI doesnot guarantee:

Uninterrupted or error-free service operation
Accuracy or completeness of data or insights
Compatibility with all devices or browsers
Availability of third-party integrations

8.2 Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, FINMANAGER AI DISCLAIMS ALL WARRANTIES, EXPRESSOR IMPLIED, INCLUDING:

MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
UNINTERRUPTED OR SECURE ACCESS

8.3 Limitation of Liability

IMPORTANT LIMITATION: TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINMANAGER AI'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO FINMANAGER AI IN THE 12 MONTHSPRECEDING THE CLAIM. FINMANAGER AI SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
FINANCIAL LOSSES FROM INVESTMENT DECISIONS
DAMAGES RESULTING FROM THIRD-PARTY SERVICES OR DATA BREACHES
LOSSES CAUSED BY YOUR RELIANCE ON AI-GENERATED CONTENT

8.4 Third-Party Services

FinManager AI integrates with third-party financial service providers. We are not responsible for:

Third-party service availability or accuracy
Changes to third-party terms of service or APIs
Data provided by third-party services
Third-party security practices

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless FinManager AI, its officers, directors, employees, andagents from and against all claims, damages, losses, and expenses (including reasonable attorney fees)arising from:

Your use of the Service
Your violation of these Terms
Your financial decisions based on Service content
Your violation of any third-party rights
Your violation of applicable laws

10. TERMINATION

10.1 Termination Rights

Either party may terminate this Agreement:

At any time with or without cause
Immediately if the other party materially breaches these Terms
Upon 30 days' written notice

10.2 Effect of Termination

Upon termination:

Your access to the Service will cease
FinManager AI may delete your account and data (subject to legal requirements)
Sections relating to limitations of liability, indemnification, and dispute resolution survive termination

11. MODIFICATIONS TO TERMS

11.1 Modification Rights

FinManager AI reserves the right to modify these Terms at any time. We will notify users of materialchanges through:

Email notification
Platform notification
Updated posting date on this document

11.2 Continued Use

Continued use of the Service after changes constitutes acceptance of the modified Terms.

12. COMPLIANCE AND LEGAL

12.1 Regulatory Compliance

You acknowledge that financial services are heavily regulated. FinManager AI makes no representationthat the Service complies with the laws of all jurisdictions.

12.2 Export Control

The Service may be subject to export control laws. You agree not to use the Service in violation of anyapplicable export restrictions.

12.3 Anti-Money Laundering

FinManager AI reserves the right to monitor transactions and report suspicious activity as required by law.

13. DISPUTE RESOLUTION

13.1 Arbitration Agreement

13.2 Exceptions to Arbitration

The following disputes are NOT subject to arbitration:

Individual claims in small claims court
Injunctive relief for intellectual property infringement
Claims that cannot legally be arbitrated

13.3 Opt-Out Right

14. MISCELLANEOUS

14.1 Entire Agreement

These Terms constitute the entire agreement between you and FinManager AI regarding the Service.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

14.3 Assignment

You may not assign your rights under this Agreement. FinManager AI may assign this Agreement inconnection with a merger, acquisition, or sale of assets.

14.4 Force Majeure

Neither party is liable for delays caused by circumstances beyond their reasonable control.
